1. Overview
These Terms & Conditions govern the relationship between ONE68 Designs ("we," "us," "our") and any client or website visitor ("you," "client") who engages our branding, web design, packaging, or related creative services. By using this website or engaging our services, you agree to be bound by these Terms.
2. Services
ONE68 Designs provides brand identity, logo design, packaging design, website design and development, content creation, and related creative consulting services. Services are provided based on individual proposals, quotations, or signed agreements, which shall prevail in case of conflict with these Terms.
3. Project Scope & Revisions

Each project's scope, timeline, and number of revision rounds will be defined in a separate proposal or agreement before work begins.

A revision consists of reasonable modifications to the existing design and does not include new concepts or changes to previously approved deliverables. Requests outside the agreed scope may incur additional fees.

Delays in client feedback may affect the agreed project timeline.
4. Payment Terms

A 50% deposit is required before work begins, with the remaining 50% due upon project completion and before delivery of final files.

Final files and editable source deliverables will be released only after full payment has been received.

Invoices not paid within 15 days may incur a $25 flat late fee.

Prices do not include applicable taxes unless stated otherwise.
5. Intellectual Property & Ownership

All work remains the property of ONE68 Designs until full payment is received; ownership of final approved deliverables transfers to the client only after full payment.

ONE68 Designs retains ownership of working/source files, drafts, and unused concepts unless otherwise agreed in writing.

Third-party fonts, stock photography, illustrations, icons, plugins, frameworks, and other licensed assets used in a project remain subject to their own respective licenses, separate from this agreement.

ONE68 Designs reserves the right to display completed work in its portfolio, website, and marketing materials unless the client requests confidentiality in writing.
6. Cancellation & Refunds

If the client cancels a project in progress: all payments made up to that point, including the deposit, are non-refundable.

If ONE68 Designs cancels a project in progress for its own reasons: any payments received for work not yet completed will be refunded to the client.

Project inactivity: projects inactive for more than 30 days due to lack of client communication or feedback may be considered abandoned. Resuming an abandoned project may require a new quote.
7. Third-Party Costs
Costs for third-party services (domain registration, hosting, stock photography, premium plugins, printing, etc.) are not included in design fees unless explicitly stated, and are billed separately or passed through to the client. ONE68 Designs is not responsible for the performance, uptime, pricing, or policies of third-party providers (including hosting platforms).
8. Client Responsibilities
The client is responsible for:

Providing content (text, images, logos, videos, etc.) on time

Reviewing and approving deliverables within agreed timeframes

Ensuring they hold the necessary rights to any logos, photographs, text, music, or other materials they provide.
9. Client Content & Copyright Indemnification
The client warrants that they own or have the necessary rights and licenses for all content they provide (photographs, logos, videos, text, music, etc.), and agrees to indemnify and hold ONE68 Designs harmless from any claims, damages, or losses arising from the use of that material.
10. Approval Process
Once a deliverable is approved by the client (verbally, in writing, or via email), it is considered accepted. Requests to revisit previously approved deliverables will be treated as new work and may incur additional fees.
11. Project Timelines
Timelines provided are estimates and depend on timely client feedback, content delivery, and approvals. Delays caused by the client may extend the project timeline accordingly.
12. Website Maintenance & Support
Unless covered by a separate maintenance agreement, website delivery does not include ongoing maintenance, updates, or technical support after launch.
13. Warranties Disclaimer
ONE68 Designs does not guarantee specific business outcomes, including but not limited to increased sales, search engine rankings/SEO performance, or other commercial results.
14. Confidentiality
ONE68 Designs will treat client information shared during a project as confidential and will not disclose it to third parties without consent, except as required to complete the project. The client agrees to extend the same respect to ONE68 Designs' proprietary
methodologies and internal materials.
15. Limitation of Liability
ONE68 Designs is not liable for indirect, incidental, or consequential damages arising from the use of deliverables, including but not limited to lost profits or business interruption. Our maximum liability under any claim shall not exceed the amount paid
by the client for the specific project giving rise to the claim.
16. Force Majeure
ONE68 Designs is not responsible for delays or failure to perform due to causes beyond its reasonable control, including natural disasters, power or internet outages, pandemics, or governmental actions.
17. Termination
ONE68 Designs reserves the right to terminate a project if the client is abusive toward staff, fails to make agreed payments, or otherwise breaches these Terms.
18. Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation or mediation before pursuing formal legal action.
19. Governing Law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles.
